The purpose of the private placement and use of funds (USD2.5 million) is to rapidly expand and meet the global demand for a proprietary new form of estate planning and wealth creation, developed by Mr. Brown thru Crescendo<.

Executive Summary

This proposed Crescendo Founding Members private placement and development plan is open and available only to sophisticated and pre-qualified private investor candidates. A comprehensive, confidential business plan will be made available to approved investors (the Plan<). The Plan calls for the continuation of sale of memberships to the Crescendo < Club (the Club<) to targeted and pre-identified private individuals (Members<), each membership consisting of an estate plan with a targeted USD100.0 million first-generation private investment trust underpinned by a wealth creation strategy based on the rationalization of intellectual property (RIP<).

Crescendo< is a privately-owned group of companies controlled by the private family investment trust of Myron D. Brown, founding chairman (see personal profile and CV under separate cover). Mr Brown is a Canadian Chartered Accountant (CA), Certified Management Accountant (CMA) and Certified Management Consultant (CMC) having spent his early career, through to retirement at age 39, with Deloitte and Touche (Calgary, AB, CANADA) within their Private Client Financial & Special Services Team.

Crescendo's proprietary intellectual property focuses on the rationalization of intellectual property (RIP<) as the source in a wealth creation strategy, methodology and delivery mechanism. Members< benefit from the use of a private and bespoke estate plan, including an optional international departure strategy from his/her home nation, coupled with an operational business delivery platform for global commerce (including all private banking and trust services). At the discretion of the Member<, virtually all bespoke strategies and programs (referred to as the intellectual property strategy - ips<) are entirely private, completely laissez-faire and legally anonymous.

This opportunity is being directed to high net worth Angels as prospective members of the Crescendo< Club. The opportunity lies in a blend of returns and benefits: 1) financial; 2) social/recreational; and 3) intellectual.

Each prospective investor will become a Founding Member of the Club< (the Investor)

The subscription price, per Founding Membership, for Investors is USD500,000. (~ £300,000). This compares, on a preferred-entry basis, to the actual typical cost of Club< membership, that is variable but directly related to the respective member's structured wealth creation target and averages close to USD2.0 million per Member<, based on a USD100.0 million investment trust program.

As part of his/her Founding Membership, each Investor will receive:

- A private and bespoke estate plan (including an optional national departure plan);

- A Crescendo sponsored intellectual property strategy (ips<); as the planned strategy and source of wealth of

- An USD100.0 million IPIT< (a Crescendo Intellectual Property Investment Trust).



With an establishment in Basseterre, St Kitts, WI, Crescendo has been granted, by the Office of the Prime Minister, a St Kitts & Nevis federal charter for the exclusive provision of the proprietary Crescendo financial services.

Crescendo currently has over 300 active and prospective members. The intended use of these Private Placement funds is the rapid expansion of its international sales & marketing force in support of Club< membership expansion.

In addition to the foregoing financial benefits, each Member< may take advantage of the lifestyle benefits of being a Club< member, including:

- Participation in the Crescendo < Air joint venture and sponsorship arrangement with Bombardier for the provision of private jets for international travel as well as joint ventures and sponsorship with a selected international group of ocean-going yacht manufacturers;

- Arranged international travel and property ownership to and from luxury property destinations, including ownership, residency & citizenship options;
